Terms
Terms of service
The agreement governing our work together. Plain language, no hidden clauses.
Overview
These terms govern the relationship between Cinderva Studio (“we”, “us”, “our”) and you (“client”, “you”) for design and development services ordered via cinderva.studio.

By engaging us, you accept these terms. If you disagree with any part, do not proceed.
1. Scope & engagement
- 1.1 Proposal = agreement
- Each project is defined by a written proposal (scope, timeline, price, deliverables) sent after the brief review. Your written acceptance (email reply or signed document) forms the binding agreement for that project. These terms apply to every proposal unless the proposal expressly overrides a specific clause.
- 1.2 Scope changes
- Additional work outside the agreed scope requires a written change order with revised timeline and price. Verbal requests do not constitute approval.
- 1.3 Client responsibilities
- You will: provide content, assets, and feedback by agreed dates; designate a single decision maker; grant access to required systems (DNS, hosting, analytics); and respond to clarification requests within 2 business days. Delays on your side extend the timeline proportionally.
2. Fees & payment
- 2.1 Pricing
- Prices in proposals are fixed for the defined scope. Prices listed on the website are starting points only; the final quote is in the proposal.
- 2.2 Payment schedule
- Standard: 50% deposit on signing, 50% on launch. Alternative schedules may be agreed in writing. Work does not begin until the deposit clears.
- 2.3 Late payment
- Overdue invoices accrue interest at 1.5% per month (or the maximum permitted by law). We may pause work until arrears are cleared. Launch and handover are withheld until full payment.
- 2.4 Expenses
- Third-party costs (stock assets, licences, specialised hosting, domain registration) are billed at cost with receipts. We seek approval before incurring any expense over £100.
3. Intellectual property
- 3.1 Ownership on full payment
- Upon full payment, all final deliverables (design files, source code, documentation, deployed site) transfer to you. “Full payment” means every invoice for the project is paid in full.
- 3.2 Pre-existing & third-party IP
- We retain ownership of our internal tools, frameworks, libraries, and design systems used to build your project. Third-party assets (fonts, stock photos, plugins) remain subject to their respective licences — we secure appropriate licences on your behalf where needed.
- 3.3 Portfolio rights
- We may display the completed project in our portfolio, case studies, and marketing materials (with a link to the live site) unless you request otherwise in writing before launch.
- 3.4 Concept studies
- Work published under
/worklabelled “concept study” is Cinderva original IP, not client work. No client data or brand appears in concept studies.
4. Warranties & limitations
- 4.1 Our warranties
- We warrant that deliverables will materially conform to the agreed proposal, will be built to current web standards (HTML5, CSS3, modern JS), and will be free of material defects for30 days post-launch.
- 4.2 No other warranties
- The service is provided “as is” beyond the express warranty above. We do not warrant: uninterrupted or error-free operation; compatibility with every browser/device combination beyond the tested matrix; specific business outcomes (leads, sales, rankings); or third-party service uptime (hosting, CDN, analytics, payment gateways).
- 4.3 Liability cap
- Our aggregate liability for any project shall not exceed the total fees paid for that project. We are not liable for indirect, consequential, or punitive damages (lost profits, data loss, reputational harm).
- 4.4 Client indemnity
- You indemnify us against claims arising from: content you supply (copyright, defamation, legality); your use of the delivered site in violation of law; or your breach of these terms.
5. Confidentiality
Both parties will treat non-public information disclosed during the project as confidential and will not disclose it to third parties without prior written consent, except to advisors bound by equivalent obligations or as required by law. This survives termination for 2 years.
6. Termination
- 6.1 By either party
- Either party may terminate with 14 days' written notice. You pay for work completed and third-party costs incurred to the termination date. We deliver all work-in-progress files upon receipt of final payment.
- 6.2 For cause
- Immediate termination is permitted for material breach (non-payment over 30 days, IP theft, confidentiality breach) on written notice. The non-breaching party's remedies are cumulative.
7. General
- 7.1 Governing law
- England and Wales. Courts of England and Wales have exclusive jurisdiction.
- 7.2 Entire agreement
- These terms + the signed proposal constitute the entire agreement. They supersede all prior discussions.
- 7.3 Assignment
- Neither party may assign without the other's written consent (not unreasonably withheld).
- 7.4 Force majeure
- Neither party is liable for failures caused by events beyond reasonable control.
- 7.5 Severability
- If any clause is unenforceable, the remainder stands.
- 7.6 Notices
- Email to the addresses in the proposal constitutes valid notice.
